                             REDEMPTION OF B SHARES


The Roxboro Group PLC (the 'Company') announces that 237,749 of the redeemable
non-cumulative preference shares of 75 pence each in the capital of the company
('B' Shares) were redeemed on 31 December 2004.  Accordingly, a total of
53,760,649 B Shares, representing 94.6 per cent of the B Shares originally in
issue, have now been redeemed in accordance with the terms and conditions
attaching to the B Shares.  The Company may, at its discretion, redeem the
remaining 3,039,521 B Shares at any time and will be obliged to do so not later
than 31 December 2008.


Payment on the B Shares redeemed on 31 December 2004 will be settled through the
CREST system or, for certificated holders, cheques will be despatched, no later
than 7 January 2005.
