REDEMPTION OF B SHARES
The Roxboro Group PLC (the 'Company') announces that 63,369 of the redeemable
non-cumulative preference shares of 75 pence each in the capital of the Company
('B Shares') were redeemed on 30 June 2005. Accordingly, a total of 53,824,018 B
Shares, representing 94.76 per cent. of the B Shares originally in issue, have
now been redeemed in accordance with the terms and conditions attaching to the B
Shares. The Company may, at its discretion, redeem the remaining 2,976,152 B
Shares at any time and will be obliged to do so no later than 31 December 2008.
Payment on the B Shares redeemed on 30 June 2005 will be settled through the
CREST system or, for certificated holders, cheques will be despatched, no later
than 7 July 2005.
