The  non-executive directors of The Roxboro Group PLC announce that they  are
in  the  early  stages  of  discussions with the executive  directors  and  a
potential  provider of equity finance concerning the possibility of  a  newly
formed company making an offer for the Group.

These discussions are at a preliminary stage and a further announcement  will
be made in due course.
