Result of General Meeting and Total Voting Rights
The Directors of Digitalbox plc (AIM: DBOX), the mobile-first digital media business, which owns Entertainment Daily, The Daily Mash and The Tab, are pleased to announce that, at the General Meeting of the Company held earlier today, all resolutions were duly passed, including those required to approve the Subscription details of which were set out in a circular to shareholders dated 1 October 2020.
The Subscription of 24,489,795 new ordinary shares will raise gross proceeds of £1.2 million for the Company. It is expected that Admission of the Subscription Shares will become effective and that dealings of the new ordinary shares will commence at 8.00 a.m. on 20 October 2020.
Following Admission, the total number of ordinary shares in issue and the total voting rights in the Company will be 115,860,421. This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
Words and expressions defined in the Circular published on 1 October 2020 shall have the same meaning in this announcement.
The results of the proxy voting will be available on the Company's website in due course, www.digitalbox.com .
