                          ANNUAL GENERAL MEETING ('AGM')
     
The Company has today submitted to the UKLA at the Document Viewing
Facility for inspection, copies of the resolution duly passed as special
business at the AGM of Diploma PLC on 11 January 2005.

All of the resolutions put to shareholders at the Annual General Meeting
were passed.
