  SUBMISSION OF 2003 REPORT AND ACCOUNTS, SHAREHOLDER CIRCULAR, FORM OF PROXY,
          LONG TERM INCENTIVE PLAN AND AMENDED ARTICLES OF ASSOCIATION

The Company has today submitted two copies of the following documents to the
UKLA at the Document Viewing Facility for inspection:

(a) the report and accounts for the financial year ended 30 December 2003;
(b) an explanatory circular and notice of annual general meeting ('AGM') dated 1
December 2003 sent to all shareholders entitled to vote at the meeting;
(c) a form of proxy in relation to the AGM;
(d) the Rules of The Diploma PLC 2004 Long Term Incentive Plan ('LTIP'); and
(e) revised articles of association of the Company.

The full text of the amended articles of association and the LTIP have been and
will be available for inspection:

(i) from 1 December 2003 until the close of the AGM at the registered office of
the Company; and
(ii) at the AGM venue for at least 15 minutes prior to and during the AGM.
