                      DIPLOMA PLC - DIRECTORS' LTIP AWARDS


     The Remuneration Committee has recommended that the Board approve the
     following Awards under the Diploma PLC 2004 Long Term Incentive Plan
     ('LTIP') to Executive Directors:

                       BM Thompson 42,566 Ordinary Shares
                       I Henderson 25,510 Ordinary Shares
                       NP Lingwood 25,510 Ordinary Shares


     The Awards made today are subject to performance conditions measured over a
     three Year Performance Period ending on 30 September 2008. A summary of the
     LTIP, including the performance conditions relating to the Awards, 
     is set out in the Annual Report and Accounts of the Company.
