PUBLICATION OF CIRCULAR RELATING TO SHARE CONSOLIDATION AND RETURN OF CAPITAL
Further to the announcement by Direct Line Insurance Group plc (the "Company") on 29 May 2015 regarding the completion of the disposal of its International division and the proposal to return substantially all of the net proceeds from the sale to shareholders by way of a special dividend of 27.5 pence per share (equating to approximately £412.5 million), the Company has today made available to shareholders the following documentation in respect of the related share consolidation and return of capital:
· Explanatory circular, containing a notice of General Meeting, regarding the proposed 11 for 12 share consolidation of the Company's ordinary share capital and special dividend of 27.5 pence per share (the "Circular")
· General Meeting form of proxy ("Form of Proxy")

The Company's General Meeting will be held at 10.00am on Monday, 29 June 2015 at Allen & Overy LLP, One Bishops Square, London E1 6AD.
The Circular and Form of Proxy will be submitted to the National Storage Mechanism and will shortly be available for inspection at: www.hemscott.com/nsm.do.
