Notification of Transactions of Directors/Persons Discharging Managerial Responsibility

Direct Line Group - All Employee Share Incentive Plan

In accordance with DTR3.1.2(1), Direct Line Insurance Group plc ("Direct Line Group" or "the Company") was notified on 27 November 2012 of the award of 143 Ordinary Shares of 10p each under the "Free Share" element of the Company's HMRC approved all-employee Share Incentive Plan (the "SIP"), on 27 November 2012.

The award was made available to all UK resident employees of the Company, with a similar award made available, under the Direct Line Group International Share Incentive Plan, to non-UK resident employees. The Ordinary Shares awarded to participants in the SIP were purchased by Computershare Trustees Limited, as the trustee of the SIP trust (the "Trustee"), from The Royal Bank of Scotland Group plc as part of the Company's Admission to the London Stock Exchange. In accordance with the rules of the SIP, the Trustee will normally hold these Ordinary Shares on behalf of the relevant individuals throughout a holding period of three years. No consideration is required to be paid by participants for the grant of these awards.
