Issue of Equity and Total Voting Rights

Diversified Gas & Oil PLC (AIM: DGOC), the US based owner and operator of natural gas, natural gas liquids and oil wells as well as midstream assets, announced on 2 November 2017 the award of Restricted Stock Units ("RSUs") issued under the Company's equity incentive plan (the "Plan") to certain of the Company's senior management. 

In accordance with the terms of the Plan, the balance of the RSU's held by Eric Williams, Chief Financial Officer and PDMR, have now vested and the Company has therefore allotted 38,857 new ordinary shares of 1 pence each in the Company (the "RSU Shares") to Eric Williams. Mr Williams' interest in the Company now comprises 77,712 ordinary shares of 1 pence each ("Ordinary Shares"), representing 0.01% of the Company's issued share capital, plus share options over 2,505,000 Ordinary Shares.

Application has been made for the RSU Shares to be admitted to trading on AIM which is expected to occur on 17 July 2019.  The RSU Shares rank pari passu in all respects with the existing Ordinary Shares.

Following the issue of the RSU Shares, the Company will have 680,476,436 Ordinary Shares in issue (including treasury shares).  The Company currently holds 4,796,627 Ordinary Shares in treasury.  Therefore, the total voting rights in DGO will be 675,679,808. This figure for the total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
