Additional matters on the agenda for the EGM on...
Reference is made to the notice of Extraordinary General Meeting (EGM) in DNO
International ASA dated 28 September 2011. The EGM is scheduled for 1 November
2011 at 1:00 PM.
On 3 October 2011 the Board received a letter from Erik J. Frydenbø and Petrolia
Invest AS where these two shareholders require new matters to be put on the
agenda for the EGM. A copy of the letter is enclosed. The Board underlines that
it does not support nor in any way take responsibility for the content or
accusations and allegations against third party companies contained in this
letter. Such responsibility lies solely with Erik J. Frydenbø and Petrolia
Invest AS.
Still, in accordance with the obligations in § 5-11 of the Norwegian Public
Limited Liability Companies Act, it is the Boards mandatory duty to add the
following matters to the existing agenda for the EGM:
6. Investigation (as further explained in the enclosed letter)
7. Election of new members of the Board
8. Election of new Chairman of the Board
9. Election of new Deputy Chairman of the Board
An updated agenda is attached to this announcement.
Please find enclosed a new "Attendance Slip and Form of Proxy" where the new
item 6 (Investigation) is included. With respect to the new matters 7-9, no new
candidates to the Board are proposed by Erik J. Frydenbø and Petrolia Invest AS.
For this reason it is not possible to include a vote in this respect on the Form
of Proxy.
