Directors Dealings
Dominos' Pizza UK & IRL plc ('the Company' or 'Domino's') today announced that
on the 27 February 2006 it was informed of the following transactions in respect
of the Company's Ordinary Shares of 5 pence each in the capital of the Company
('Ordinary Shares').
As a result of the rapid growth in profitability and earnings per share over the
last three years, the performance targets included in the 2003 LTIP award have
been achieved. As a result 1,909,334 shares have vested of which 1,351,741 were
allocated to Stephen Hemsley, the Chief Executive of the Company, 398,764 were
allocated to Chistopher Moore, the Chief Operating Officer of the Company, and
the remaining 158,830 to a senior manager of the Company.
Stephen Hemsley disposed of 992,302 shares on the 27 February 2006 at a price of
405 pence per ordinary share.
CTG Investments Limited (CTG Investment Limited is a company owned by a
discretionary trust of which Stephen Hemsley and his family are potential
beneficiaries) disposed of 7,191 shares at a price per ordinary share of 405
pence.
As a result of the above transactions Mr Hemsley' interests in the ordinary
shares of the Company have increased from 2,297,752 (4.3% of the Company's
current issued share capital) ordinary shares to 2,650,000 ordinary shares now
representing 5.00 % of the Company's current issued share capital.
Christopher Moore disposed of 198,250 shares at a price per ordinary share of
405 pence. As a result of this and the LTIP award, Mr Moore's interests have
increased from 699,510 (1.3% of the Company's current issued share capital)
ordinary shares to 900,024 ordinary shares now representing 1.70% of the
Company's current issued share capital.
Colin Halpern, the Chairman of the Company disposed of 1,100,000 shares held by
H S Real Company LLC on the 27 February 2006 at a price of 405 pence per
ordinary share
(H S Real Company LLC is owned by a discretionary trust the beneficiaries of
which are the adult children of Colin and Gail Halpern). As a result Mr
Halpern's interests have decreased from 7,624,464 (14.49% of the Company's
current issued share capital) ordinary shares to 6,524,464 ordinary shares now
representing 12.3 % of the Company's current issued share capital.
John Hodson who is a non-executive director of the Company, acquired 15,000
shares on the 27 February at a price of 405 pence per ordinary share.
