NOTIFICATION OF TRANSACTION BY PDMR
This notification is made in accordance with DTR 3.1.4(1)(a).
Domino's Pizza Group plc (the "Company") announces that, following the adoption of the Company's new directors' remuneration policy and the 2016 Long Term Incentive Plan (the "2016 LTIP") by shareholders at the Annual General Meeting held on 20 April 2016, an award (the "Award") under the 2016 LTIP has today been made to David Wild, the CEO and a director of the Company.
The potential vesting of the Award is subject to the satisfaction of a performance condition comprising independently assessed measures of earnings per share and relative total shareholder return, and the unconditional release of shares thereafter is subject to a further assessment of total shareholder return on an absolute basis.
Full details of the performance conditions and the related performance periods and vesting profiles are explained in the directors' remuneration report contained in the Company's 2015 annual report and accounts, available on the Company's investor relations website investors.dominos.co.uk/investors/results-reports-presentations since 16 March 2016.
The Award is a single grant of performance shares to cover three years of normal annual grants of performance shares in 2016, 2017 and 2018 over a maximum of 534,000 ordinary shares of 1.5625p in the Company and is structured as a nil cost option. No consideration was paid for the grant of the Award.
The Company was informed of the above transaction on 22 April 2016.
