Notice of Extraordinary General Meeting
DP Eurasia (DPEU.L), the master franchisee of the Domino's Pizza brand in Turkey, Russia, Azerbaijan and Georgia, announces that DP Eurasia will hold an Extraordinary General Meeting (the "EGM") on 21 April 2021, commencing at 14:00 pm (CEST).
The business of the EGM will be to consider and, if thought fit, approve certain resolutions including the appointment of Mr. Shyam S. Bhartia, Mr. Hari S. Bhartia and Mr. Pratik R. Pota as non-executive directors replacing Mr. Seymur Tari, Ms. Aksel Ş ahin and Mr. Neil Harper as shareholder representatives pursuant to the relationship agreement between the Company and Fides Food Systems Coöperatief U.A. ("Fides"). Fides is owned by Jubilant Foodworks Limited ("JFL") through its wholly owned subsidiary, Jubilant Foodworks Netherlands B.V. Mr. Shyam S. Bhartia is founder and Chairman of JFL, Mr. Hari S. Bhartia is founder and Co-Chairman of JFL and Mr. Pota is the CEO and Wholetime Director of JFL.
On 1 February 2021, the Company announced the intended appointment of Mr. David Adams to the Board as Non-Executive Director during the 2021 AGM who will replace Mr Thomas Singer, the current Senior independent Non-Executive Director, who will retire from the Board at the end of the 2021 AGM. Since the Company will now hold this EGM on 21 April 2021, Mr Adams' appointment will be moved forward to the EGM.
As part of the COVID-19 measures taken by the Dutch government, the Act on temporary provisions in the field of expertise of the Ministry of Justice and Security in connection with the COVID-19 outbreak came into force on 24 April 2020 (the "Emergency Act"). In accordance with the provisions of the Emergency Act and to protect the health and safety of all our employees and our stakeholders, the EGM (a) can only be accessed by electronic means of communication, (b) shareholders and other persons entitled to attend the EGM will not have physical access and (c) voting can only take place by CREST or by appointing a proxy prior to the EGM.
DP Eurasia makes the following disclosures in accordance with Listing Rule 9.6.13:
Mr. Shyam S. Bhartia is currently a director of the following publicly quoted companies:

- Chambal Fertilisers and Chemicals Limited
- Jubilant Foodworks Limited
- Jubilant Ingrevia Limited (in the process of listing its equity shares on BSE Limited and National Stock Exchange of India Ltd)
Mr. Hari S. Bhartia is currently a director of the following publicly quoted companies:
- Jubilant Pharmova Limited
- Shriram Pistons and Rings Limited
- Jubilant Foodworks Limited
- Jubilant Ingrevia Limited (in the process of listing its equity shares on BSE Limited and National Stock Exchange of India Ltd)
In the last five years, Mr. Hari S. Bhartia has also been a director of Jubilant Industries Limited.
Mr. Pratik Pota is currently a director of Jubilant Foodworks Limited.
DP Eurasia confirms that no further disclosures are required pursuant to Listing Rule 9.6.13.
