Notice of Extraordinary General Meeting

DP Eurasia (DPEU.L), the master franchisee of the Domino's Pizza brand in Turkey, Russia, Azerbaijan and Georgia, announces that DP Eurasia will hold an Extraordinary General Meeting (the "EGM") on 13 April 2022, commencing at 11:00 am (CET).

The business of the EGM will be to consider and, if thought fit, approve certain resolutions including the amendment of the Company's Articles by including a new additional article (to be numbered as Article 30) which sets out a framework for the conduct of mandatory offers for the Company to ensure additional takeover protection for minority shareholders since the UK Takeover Code and the Dutch takeover rules ceased to apply to the Company after 31 December 2020. If this amendment is approved at the EGM, the requirement to launch a mandatory offer will be applicable to any investor which acquires 50% or more of the Company's issued share capital.

As part of the COVID-19 measures taken by the Dutch government, the Act on temporary provisions in the field of expertise of the Ministry of Justice and Security in connection with the COVID-19 outbreak came into force on 24 April 2020 (the "Emergency Act"). In accordance with the provisions of the Emergency Act and to protect the health and safety of all our employees and our stakeholders, the EGM (a) can only be accessed by electronic means of communication, (b) shareholders and other persons entitled to attend the EGM will not have physical access and (c) voting can only take place by CREST or by appointing a proxy prior to the EGM.

The notice of the EGM is available on the AGM/EGM section of the Group's website at www.dpeurasia.com and copies of the documents have also been submitted to the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/homepage .
