Results of 2021 Extraordinary General Meeting
DP Eurasia (DPEU.L), the master franchisee of the Domino's Pizza brand in Turkey, Russia, Azerbaijan and Georgia, announces that at its Extraordinary General Meeting ("EGM") held today, 3 February 2021, all resolutions set out in the Notice of the EGM were voted on a poll and were passed by the requisite majorities. The poll results of each resolution are set out in the table below:

2. Appointment of Mr. N. Harper as Non-Executive Director Mr. Harper is a Turk Ventures Advisory Limited (Turkven) representative and designated as a shareholder representative pursuant to the relationship agreement between the Company and Turkven. Mr. Neil Harper has been appointed as Non-Executive Director for a period of one year, ending at the end of the annual General Meeting in 2022. |

3. Approval to amend the Long Term Incentive Plan The amendments to the rules of the DP Eurasia N.V. Long Term Incentive Plan, which amendments have been produced to the meeting and a summary of which has been provided in the Notice, be and are hereby approved and the Directors be and are generally authorised to adopt the amendments and to do all acts and things that they consider necessary or expedient to give effect to the amendments. |

4. Resolution to amend the Company's Articles of Association ("Articles") The Articles will be amended according to the draft deed of amendment of the Articles drawn up by Houthoff Coöperatief U.A. as from the day the EGM was convened ("Deed of Amendment"), under the condition precedent of the transfer of the shares of the Company held by Link Market Services Trustees (Nominees) Limited, as the current custodian, to Euroclear Nederland. |

5. Resolution to grant a power of attorney to execute the deed of amendment of the Articles Each member of the Board, as well as each employee, (candidate or assigned) civil-law notary and each lawyer of the law firm Houthoff Coöperatief U.A., each of them individually, is authorised to sign the Deed of Amendment and all documents ancillary thereto, and to further carry out any act in connection therewith as deemed necessary by anyone authorized by this power of attorney. |

The Company currently has issued 145.372.414 shares which confer voting rights of which 90.305.540 shares were validly present or represented at the EGM, which is 62,12% of the Group's issued share capital.
The voting results are available on the Regulatory News section of the Group's website at www.dpeurasia.com and copies of the documents have also been submitted to the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/homepage .

DP Eurasia N.V. is the exclusive master franchisee of the Domino's Pizza brand in Turkey, Russia, Azerbaijan and Georgia. The Company was admitted to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange plc on 3 July 2017. The Company (together with its subsidiaries, the " Group " ) is the largest pizza delivery company in Turkey and the third largest in Russia.
