(DP Eurasia or the Company, and together with its subsidiaries, the Group)

 

Further to the announcement on 27 October 2021, the committee of the board of the Company (the "IndependentCommittee"), comprising all the independent directors, being the Chairman of the Board of DP Eurasia, Peter Williams, and the Senior Independent Non-Executive Director, David Adams, provides an update following feedback from shareholders who are eligible to tender their shares into the reverse bookbuild by Jubilant Foodworks Netherlands B.V. ("Jubilant") (the "RBB").

Feedback from shareholders

The Independent Committee has consulted with a number of shareholders eligible to tender into the RBB.

· Shareholders representing 42.4% of total issued share capital (and 63.0% of total issued share capital excluding shares owned by Jubilant) have not tendered and have provided their written intention not to tender.

· The Independent Committee is mindful that, of the balance, a significant proportion has not been consulted on the assumption of ineligibility to tender.

· No shareholder with whom the Independent Committee has consulted has indicated to them an intention to tender any shares.

Given the impact of certain shareholders' decisions on other shareholders, the Independent Committee believes that it is in the best interests of all shareholders for this information to be fully communicated prior to shareholders making their final decision as to whether or not to tender.

 

Recommendation

 

The Independent Committee maintains its recommendation that shareholders do not tender their shares under the RBB as further set out in the Company's announcement of 27 October 2021.

DP Eurasia N.V. is the exclusive master franchisee of the Domino's Pizza brand in Turkey, Russia, Azerbaijan and Georgia.
