Notification of Transaction of Director,

Persons Discharging Managerial Responsibility or Connected Persons

On Tuesday 5 April 2022, a transfer of 20,000 ordinary shares in Drax Group plc by Will Gardiner, Chief Executive Officer, Drax Group plc to NPT Transatlantic Limited ("the Charity"), a registered charity in England and Wales completed. The transfer was in the form of an irrevocable gift made to the Charity. 

Following the transfer of shares to the Charity, Will Gardiner's total holding in Drax Group plc is 723,375 ordinary shares.

Footnote:

Will Gardiner is a donor and adviser to the Okeden Fund, a donor-advised fund at the charity NPT Transatlantic Limited. NPT Transatlantic Limited retains exclusive legal control over the assets of the Okeden Fund.  NPT Transatlantic Limited and its Board of Trustees have sole authority over the assets of the Okeden Fund, including all investment decisions and decisions regarding grant making to educational charities. Will Gardiner does not receive income from the Okeden Fund.

The transfer is wholly comprised of shares in Drax Group plc which Mr Gardiner acquired in the open market. Holdings derived from vesting of shares through Will Gardiner's participation in Drax share plans therefore remain unchanged.
