Directors' Share Dealings
On 15 December 2005, Drax Group plc was Admitted to Listing and at that time
certain directors received awards through an LTIP. As foreshadowed in the
pre-listing prospectus, an element of the awards made was subject to a lock-in
arrangement whereby those shares could not be disposed of until the first
anniversary of Listing.
On 8 June 2006, Drax announced that it's Chairman, Gordon Horsfield had
transferred a number of shares to fund The Holbeck Charitable Trust of which he
and his wife Francesca (who are Connected Persons) are co-trustees along with
John Lane. The shares transferred to the trust have been subject to the same
restrictions under the lock-in arrangements.
On 15 December 2006, certain directors and The Holbeck Charitable Trust chose to
deal in Drax shares following the end of the lock-in arrangements. The details
required to be given in respect of directors, Persons Discharging Managerial
Responsibilities and Connected Persons are outlined below.
In all cases:
• the issuer is Drax Group plc;
• the notifications relate to transactions notified in accordance with DR
3.1.4R(1)(a) and DR 3.1.4R(1)(b), a disclosure made in accordance with
section 324 (as extended by section 328) of the Companies Act 1985;
• the class of shares are ordinary shares of 11 1/29 pence each in Drax
Group plc; and
• the date of dealing was 15 December 2006.
1. Gordon Boyd disposed of 168,859 shares (0.046%) at 816.75 pence per
share. Following this notification, he now has an interest in 28,355 shares
(0.007%).
2. Peter Emery disposed of 161,000 shares (0.043%) registered in his own
name and 4,000 shares (0.001%) registered in his wife's name, Pamela Emery,
all at 816.75 pence per share. Following this notification, he now has an
interest in 32,214 shares (0.009%).
3. Gordon Horsfield in his capacity as a trustee of The Holbeck Charitable
Trust and acting jointly with his co-trustees who are his wife, Francesca
Horsfield and John Lane, disposed of a non-beneficial interest in 250,000
shares (0.068%) at 816.75 pence per share. Following this notification, in
his capacity as a trustee and jointly with his co-trustees, he now has a
non-beneficial interest in 67,187 shares (0.018%). He also has a beneficial
interest in 2,490,296 shares (0.675%).
4. Dorothy Thompson acquired 20,000 shares (0.005%) at 825 pence per
share. Following this notification, she now has an interest in 66,549
shares (0.018%).
