Result of Extraordinary General Meeting

At the Extraordinary General Meeting of the Company held earlier today, the
resolutions proposed in the circular to shareholders dated 3 May 2001 issued
in connection with the Offer by Dunedin Enterprise were duly passed by
Shareholders. The First Closing Date for the Offer is 3.00 p.m. on 24 May
2001.

The Board is pleased to note the approval of the resolution put to the
extraordinary general meeting of Group Trust plc held earlier today.
