FINAL STAGE IN RETURN OF CAPITAL OF 21.5 PENCE PER SHARE BY WAY OF A B SHARE SCHEME

Pursuant to the Return of Capital by way of an issue of B Shares of 21.5 pence each, detailed in the circular sent by Dunelm Group plc (the "Company") to its shareholders dated 25 February 2010, (the "Circular"), 1,641,733 B Shares in the Company were redeemed today at a price of 21.5 pence per share. The B Shares were cancelled following redemption.

In addition, 22,409,734 Deferred Shares of 21.5 pence each were redeemed for a price of 1 pence in total. The Deferred Shares were cancelled following redemption.

This is the final stage in the return of capital. There are no remaining B Shares or Deferred Shares in issue.
