RESULTS OF GENERAL MEETING
This announcement is released by Dunelm Group plc (the Company).
The Board is pleased to announce that at the General Meeting of the Company's shareholders held on 7 March 2017, the special resolution as set out in the Notice of General Meeting dated 9 February 2017 was passed. The Resolution was put to the meeting and duly passed on a poll. The results are detailed below:

a) To authorise the appropriation of distributable profits of the Company to the payment of the final dividend of at 16 pence per Ordinary Share paid on 27 November 2015 (the Relevant Distribution), by reference to the same record date as the original accounting entry for the Relevant Distribution (b) To waive and release any and all claims which the Company has or may have arising out of or in connection with the payment of the Relevant Distribution against its shareholders who appeared on the register of shareholders on the relevant record date for the Relevant Distribution (c) To waive and release any and all claims which the Company has or may have against each of its Directors and Former Director arising out of or in connection with the approval, declaration or payment of the Relevant Distribution |

Notes:
The 'vote withheld' option is provided to enable a shareholder to abstain on the Resolution. It is not a vote in law and is not counted in the calculation of the votes for and against the Resolution.
The total number of ordinary shares of 1 pence each in the capital of Company with voting rights at 6.30p.m. on 5 March 2017, the voting record date, was 201,678,527.
Will Adderley, WA Capital Limited, Bill Adderley, Jean Adderley, The Stoneygate Trust, the Paddocks Discretionary Trust, the current directors of the Company (including Will Adderley), and David Stead (a former director of the Company, who was on the Board at the time of payment of the Relevant Distribution) have not voted their combined shareholdings, which together represent 104,548,499 Shares.
Following the passing of the Resolution, and as described in detail in the circular published by Dunelm Group plc on 9 February 2017, Dunelm Group plc has today entered into a deed of release in respect of its shareholders and a deed of release in respect of its Directors and Former Director.
