365 acquires Phones Express

      365 CORPORATION PLC ACQUIRES PHONES EXPRESS FOR UP TO £3.1 MILLION
                  AS PART OF ONGOING MOBILE TELECOMS STRATEGY


365  Corporation plc, the digital media and communications company,  announces
that  it  has  entered  into an agreement to acquire the entire  issued  share
capital  of  Phones Express for up to £3.1 million in cash  and  shares.   The
acquisition is being made as part of 365's ongoing development of  its  mobile
telecoms operations in both its Business and Consumer Divisions.

Phones Express was founded in 1997 and provides a range of mobile services  to
businesses and consumers in the UK.

Phones  Express'  mobile telephony expertise, particularly  in  the  areas  of
marketing,  customer  service, product design and  procurement,  will  greatly
enhance 365's existing mobile operations which were recently launched  by  the
Business Division.

In  addition,  Phones  Express has developed a highly successful  distribution
channel  to  the consumer market.  As part of its consumer telecoms  strategy,
365 plans to move this distribution online and build on the recently announced
network deals with Energis, Vodafone and BT Cellnet.

The initial consideration for Phones Express will be satisfied by the issue of
637,500 new 365 ordinary shares of 0.25p and the payment of £1.175 million  in
cash.  An additional payment made up of 50% shares and 50% cash will  be  made
for  Phones  Express'  net assets on the finalisation of completion  accounts.
This   payment  is  expected  to  be  in  the  region  of  £400,000.   Further
consideration of up to a total of 637,500 ordinary shares of 0.25p each may be
issued, dependent on the share price of 365 Corporation plc in 12 and eighteen
months time respectively.

Audited  accounts for Phones Express show net assets of £398,000 as  at  April
2000,  and  a turnover of £2.4 million in respect of the 12 months  ending  30
April 2000. The net profit for the same period was £500,000 before tax.

Phones  Express  co-founders Chris Millard and Peter Kirby have  entered  into
long  term  service agreements with the company to integrate and  develop  the
group's mobile products and increase revenue.

Commenting on the acquisition, Dan Thompson, Chief Executive Officer  of  365,
