                    365 and Chrysalis complete transaction



Following the signing of a heads of agreement announced on 26 November 2001,
365 Corporation plc ('365') and Chrysalis Group plc ('Chrysalis') announce
that the transaction to transfer their respective internet content businesses
and related assets to form a new company has been completed.  The company,
temporarily known as Newco, will be called Rivals Digital Media Ltd.



Martin Turner, CEO of 365, commented:

focusing our efforts on developing our telecommunication assets and
technology, particularly in the fast-growth area of Voice Services where 365's
Eckohtec division is a leading player in the European market.'
