ELEMENTIS PERFORMANCE SHARE PLAN (the 'Plan')

The Trustees of the Plan have advised us that, in accordance with the terms of
the Plan, options to purchase shares were granted on 1 March 2001 to the
executive directors as detailed below:

Lyndon Evan Cole             373,387
George Rollo Fairweather     262,312
Philip Damian Brown          151,656

The options have been granted on the same basis as the grants made in the
previous two years.

By virtue of the announcement made on 6th December 2000, the Takeover Panel
has ruled that the Company is in an Offer Period, the Takeover Panel were
therefore notified prior to this grant.
