Posting of Circular and Notice of General Meeting
Elixirr International plc (AIM: ELIX) ("Elixirr" or the "Company"), an established, global award-winning challenger consultancy, announces that it is today sending a circular to its Shareholders (the "Circular") setting out details of certain proposed changes to the Company's EMI Option Plan adopted on 4 May 2020. The changes to the EMI Option Plan are to satisfy the US Internal Revenue Code of 1986, as amended, to allow options to qualify as incentive stock options. The Circular includes a notice of General Meeting to be held at 100 Cheapside, London EC2V 6DT at 12.00 p.m. on 30 April 2021.
In light of current UK Government's COVID-19 guidance, and taking into account the UK Government's roadmap for easing COVID-19-related restrictions, it is likely that at the time of the General Meeting, public gatherings will still be limited and travel will be required to be kept to a minimum. Accordingly, Shareholders are strongly advised not to physically attend the meeting. Instead, Shareholders are requested to exercise their votes by submitting their proxy electronically or by post in accordance with the instructions set out in the Circular.
The Directors have taken the decision that voting on the Resolution to amend the EMI Option Plan at the General Meeting will be taken on a poll, rather than a show of hands, to ensure that Shareholders' proxy votes are recognised.
