Significant Shareholder and Director Share Sales
EMIS Group plc ("EMIS" or the "Group") has today received notification that following the partial expiry of lock-in agreements, certain shareholders have today sold 2,124,000 Ordinary Shares of 1 penny each ("Ordinary Shares") in the share capital of the Group at a price of 460p per Ordinary Share, through Evolution Securities.
The selling shareholders include Phillip Woodrow, the Group's Finance Director, Tony Jones, the Group's previous Non-executive Chairman, Andrew Whitwam, a member of the Group's senior management team and The Peter Sowerby Charitable Foundation ("The Charitable Foundation") established by Peter Sowerby, one of the Group's founders, all of whom remain significant shareholders in the Group. The interests of these shareholders in the issued share capital of the Group following the share sales are as follows:

On 31 March 2011, the board of EMIS was notified by Peter Sowerby that on the previous day, he transferred by way of a gift 2,396,541 Ordinary Shares to The Charitable Foundation. Following this transaction, Mr Sowerby's beneficial interest is in 4,793,082 Ordinary Shares, representing 8.19% of the issued share capital of the Company.

Mr Jones' interest in Ordinary Shares is held on trust and legally owned by the Trustees of the Dr P R Sowerby No. 1 Discretionary Settlement (as to 1,584,178 Ordinary Shares) and by the Trustees of the Dr P R Sowerby No. 3 Discretionary Settlement (as to 1,584,178 Ordinary Shares). |
