NOTICE OF ANNUAL GENERAL MEETING
The Board of Empiric Student Property plc (ticker: ESP), the owner and operator of student accommodation across the UK, announces that the Annual General Meeting of the Company ("AGM") will be held on Tuesday, 25 May 2021 at 9.00 a.m. at the Company's registered office of Swan House, 17-19 Stratford Place, London W1C 1BQ.
In line with the UK Government's restrictions on public gatherings to contain COVID-19 and being mindful of the health and safety of our stakeholders and the wider community, shareholders will not be permitted to attend the AGM in person. The Company will arrange for the minimum necessary quorum to be in attendance so that the meeting is able to conduct its business.
All shareholders are urged to complete and submit a proxy appointment in accordance with the instructions set out in the Notice of the Annual General Meeting and the Form of Proxy (and where possible to utilise the online voting facility). The proxy appointment must be received by Computershare Investor Services plc by no later than 9.00 a.m. on 21 May 2021.
The formal Notice of the AGM and the Form of Proxy will be posted to shareholders and are also available in the Investor Information section on the Company's website at www.empiric.co.uk/investor-information/company-documents and in accordance with Listing Rule 9.6.1, copies of these documents have been submitted to the UK Listing Authority and will shortly be available for inspection from the National Storage Mechanism at https://data.fca.org.uk/#/nsm/nationalstoragemechanism .
Notwithstanding the format of the AGM this year, the Board considers it important that shareholders continue to have opportunities to engage with them. Shareholders can submit questions to the Board in advance of the AGM by email to info@empiric.co.uk by no later than Friday, 21 May 2021. The Board will consider all questions received and will endeavour to answer such questions ahead of the AGM to the extent that the questions have not already been covered in the Company's presentation from 17 March 2021 (which is available on the Company's website) and, in any event, will publish such questions and answers as soon as practicable on the Company's website.
Further, the Company intends to provide a telephone facility in order for shareholders to listen to the proceedings at the AGM remotely. Shareholders can dial into the meeting using the following conference call details: T: +44 20 3787 4557, access code: 130133872#. Please note that any such participation via the telephone facility will not constitute formal attendance in relation to the AGM and shareholders will not be able to speak, ask questions or vote on any resolutions through that facility. The Board therefore encourages shareholders to ask questions and register their votes in advance.
The Company will keep the situation under close review. Circumstances may result in it being necessary to make further alternative arrangements for the AGM and the Board will seek to give you as much notice as possible. Details of any such arrangements will be communicated with shareholders before the AGM via an announcement on RNS and through the Company's website ( http://www.empiric.co.uk/investor-information/company-documents ).
