Acq. of minority interests

Empresaria Group plc ('Empresaria') announces that it has agreed to acquire
minority shareholdings in its subsidiary companies, Social Work Associates Ltd
('SWA')and Greycoat Placements Ltd ('GCP').


SWA and GCP specialise in the recruitment of social workers and domestic staff
respectively.


The acquisition of the minority shareholdings is made pursuant to an original
agreement between Empresaria and the employee shareholders of both companies and
a subsequent agreement between the same parties made earlier this year.


The consideration was satisfied by the issue of Ordinary shares of 5p each in
the capital of Empresaria.


After the acquisition Empresaria will own 100 per cent. of SWA and 82.29 per
cent. of GCP.
