Awards pursuant to the Company's Long Term Incentive Plan ("LTIP")

Empresaria announces that on 18 March 2015 the Remuneration Committee of the Company approved the vesting of awards granted in the form of nil cost options ("Awards") over ordinary shares of 5 pence each in the Company ("Ordinary Shares"), in relation to Awards granted to the executive directors on 28 September 2011 pursuant to the Company's Long Term Incentive Plan ("LTIP").
The LTIP's performance criteria were based on EPS and share price performance over the holding period to March 2015, following release of the Company's preliminary results for the financial year ended 31 December 2014. Further details of the Awards and the associated performance criteria were contained in the Company's annual report and accounts for the year ended 31 December 2013.
The calculations to determine the vesting percentage of the Awards showed that the performance conditions had been satisfied in full and that the Awards had vested in respect of 100% of the Ordinary Shares under each Award.
