Empresaria Group plc ('Empresaria' or the 'Company')
Issue of Equity
The Company announces that application has been made to the London Stock Exchange plc for the admission to trading on AIM of 345,905 new Ordinary Shares of 5p each fully paid, ranking pari passu with the existing ordinary shares ('Ordinary Shares') and dealings are expected to commence on or around 19 September 2008. These new Ordinary Shares have been allotted as consideration relating to the purchase of shares from minority shareholders in Greycoat Placements Limited, LMA Recruitment Limited and McCall Limited, subsidiaries of the Company.
The acquisition of the minority shareholdings is made pursuant to original agreements between Empresaria and the employee shareholders of the companies.
Greycoat Placements Limited specialises in the placement of domestic staff, permanent or temporary, in the UK and internationally. LMA Recruitment Limited specialises in providing staff in three core areas - Investment Banking, Asset Management and Office Support. McCall Limited specialises in the recruitment to recruitment sector.
After the acquisition of the minority shareholdings, Empresaria will own 96.46 per cent. of Greycoat Placements Limited, 75.08 per cent. of LMA Recruitment Limited and 78.89 per cent. of McCall Limited.
For the purposes of the Financial Services Authority's Disclosure and Transparency Rules, following the admission of the shares described above, the total number of ordinary shares of 5p each in the Company will be 33,910,106.
There are no shares held in treasury and therefore the total number of voting rights in the Company will be 33,910,106.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
