Empresaria is pleased to announce that at the Extraordinary General Meeting held
today, 30 April 2007, the special resolution to approve the acquisition of
Headway and authorise the Directors to allot up to 9,230,770 ordinary shares of
5p each in connection with the placing and the management subscription without
having to make a pre-emptive offer to Empresaria shareholders, was duly passed.
