EMV Capital secures Investment in Leading Domestic Heat Efficiency Company Ventive

London, UK - 20 October 2022:  NetScientific Plc (AIM: NSCI), the active international holding company, which invests in, develops and commercialises life sciences/healthcare, sustainability and technology companies, announces that its subsidiary EMV Capital has led and advised on a £2.5m investment round in domestic heat efficiency champion Ventive , and has taken a c.16% equity stake in partial settlement of fees and in line with its capital light investment model.

NetScientific's wholly owned subsidiary EMV Capital , the deep tech and venture capital specialist, led the deal which includes an initial equity and debt investment of £600,000 from investors in EMV Capital's network. The package also includes the restructuring of c.£1m of historical debt. The new money enables the launch of a Department for Business, Energy & Industrial Strategy (BEIS) matched funding grant of £1.5m, which further validates EMV Capital's capital light investment approach.

Ventive designs and manufactures innovative intelligent building service systems in the UK, with an aim to create comfort without costing the Earth.  From ventilation to heating and cooling, their team has already commercialised a number of new technologies and is well positioned to address the complexities of the Energy Transition with their new range of all-in-one home energy systems.  Ventive Home Heat Pumps are demand responsive, fully integrated Indoor Environment Control systems which provide integrated ventilation, renewable heating, and hot water with free summer cooling.  The Heat Pump will arrive pre-plumbed and pre-configured with monitoring and energy storage to enable quick and simple installation.

This new funding round will allow Ventive to deliver its modular heat pump production facility in Hartlebury, Worcestershire.  Ventive's modular exhaust air heat pumps are targeted at both new build and retrofit applications and will provide significant cost and carbon dioxide emissions reductions across their installation, operation, and production.  Ventive has partnered with QM Systems , a subsidiary of AIM-quoted PipeHawk PLC, to scale-up its production to meet growing market demands. QM Systems offers multi-disciplinary production design, automation and high value manufacturing services backed by years of engineering experience.

Dr Ilian Iliev, CEO of NetScientific, said:

"This is a perfect example of our differentiated business model and pro-active investment strategy in action. We help businesses in high impact sectors, like Ventive, to access capital to facilitate the commercialization of their innovative technologies and internationalise early.  As well as advising on debt and capital restructuring, syndicating equity, and debt investments we have also taken a direct stake, thereby committing to the Company.

"We are very pleased to welcome Ventive into our growing investment portfolio, which now consists of 23 companies. Ventive's intelligent building service systems, which seek to dramatically reduce carbon emissions for homes, fit well with our focus on deep tech, and sustainability companies with an ESG impact."

Rob Morrison, Managing Director of Ventive, added:

"The demand for more efficient domestic heating solutions has never been greater.  This need has been compounded by the threat of climate change, and the current cost of living crisis which has sent energy bills soaring. We are delighted with the support provided by EMV Capital, that helps to strengthen Ventive's balance sheet, and provides us with the funding needed to accelerate the launch of our efficient and cost-reducing heat pump division, and equally importantly, with an experienced team of active investors who have significant industry expertise."
