Expro Employee Trust shareholding
Expro International Group PLC
The Company was informed that on 3 December 2004, Bedell Christin Trustees
Limited as Trustee of the Expro Employee Trust ("the EET") acquired 109,012
ordinary shares in the capital of the Company at £3.64 per share to satisfy
future obligations arising from share options to be granted under the 2004 Expro
International Group Share Matching Plan ("the SMP") (from which executive
directors of the company are specifically excluded).
Following this purchase, the EET holds a total of 180,236 ordinary shares
representing 0.27% of the share capital of the company.
If the obligations under the SMP are not satisfied the shares in the EET may be
used to satisfy future obligations from other option schemes for which the
discretionary beneficiaries consists of employees of the Company and the
following executive directors of the Company: Graeme Coutts, Mike Martindale,
Michael Speakman, and Colin Ainger. Each of the directors is accordingly deemed
to be beneficially interested in all of the shares held by the EET.
