                     SHARE CAPITAL AND TOTAL VOTING RIGHTS

The Company notifies the market, in accordance with the Transparency Directive's
transitional provision 6, that the Company's issued share capital consists of
129,118,201 ordinary shares of 5 pence each, with each share carrying the right
to one vote. No ordinary shares are held in treasury.

Therefore, the total number of voting rights in the Company is 129,118,201.

The above figure should be used by shareholders when calculating whether they
are required to notify their interest in, or a change to their interest in, the
Company under the FSA's Disclosure and Transparency Rules.
