The winding up was conducted by the Official Receiver, 5th Floor City Plaza, Pinfold Street, Sheffield. Factor 1 Limited, a company of which Nigel Rawlings was a director at the relevant time, was placed into voluntary liquidation on 17 January 2003 by a meeting of its creditors. Stephen Conn of Begbies Traynor, Elliot House, 151 Deansgate, Manchester, M3 3BP was appointed as the liquidator. The liquidator's statement of receipts and payment under section 192 of the Insolvency Act 1986 filed with the Registrar of Companies reports that there was minimal deficiency to creditors at the conclusion of the liquidation. The company was dissolved on 28 February 2006. The Natural Skin Care Company Limited, a company of which Nigel Rawlings was a director at the relevant time, was placed into voluntary liquidation on 9 February 2004 by a meeting of its creditors. Michael Perkins of Bulley Davey, 69 /75 Lincoln Road, Peterborough, PE1 2SQ was appointed as the liquidator. The directors' estimated statement of affairs filed with Registrar of Companies states that, other than paid up shareholders, the only deficiency as regards creditors was in the amount of £516,395 to 3i plc. The company was dissolved on 11 May 2005. In all three Companies Nigel was acting as a non-executive director appointed by the venture capital funder and assisted with the orderly voluntary liquidations ensuring that all other material creditors were paid. On no occasion were any of the actions of Nigel or any of the directors involved criticised, or censured or made subject to any public incrimination in any way.
