NOTIFICATION OF DIRECTORS' SHARE TRANSACTIONS



The company has today been informed of the following transactions in the
company's ordinary shares of 40p by directors:

•         On 15 November 2002 Richard Palmer purchased 2,000 shares at a price
          of 133.8p each

•         On 15 November 2002 Ann Wilson purchased 5,000 shares at a price of
          133.8p each.

As a result of the above transactions, those directors' shareholdings are now:

•         Richard Palmer 475,843 shares (0.91% of the total issued share
          capital)

•        Ann Wilson 347,606 shares (0.66% of the total issued share capital).
