GRANT OF AWARD UNDER THE 888 ALL-EMPLOYEE SHARE PLAN

In accordance with DTR 3.1.4(R)(1)(a), the Company wishes to notify the following award made to a person discharging managerial responsibility (PDMR) over ordinary shares of the Company (Shares) under the 888 All-Employee Share Plan.

On 28 August 2015, an option to purchase Shares at a nil exercise price was granted for nil consideration under the 888 All-Employee Share Plan to the PDMR set out below (the Award).

The Award was granted to replace options to purchase Shares previously granted to the PDMR under the 888 All-Employee Share Plan which are due to expire on 4 October 2015 (the Existing Options). The number of shares stated is the maximum number available to the PDMR under the Award, which will only be exercisable to the extent that the Existing Options are not exercised or lapse.

The Award will vest so that the PDMR will, subject as mentioned above with respect to the Existing Option, be entitled to exercise the Award over 136,000 Shares on 5 October 2015 and 524 Shares on 28 August 2018.
