Director Shareholdings

21 May 2012 - Experian plc, the global information services company, hereby notifies the market that, on 18 May 2012, it received notification of the following transactions in its ordinary shares of 10 US cents each ("ordinary shares") by directors of the Company.

Co-Investment Plan

In accordance with the terms of the Experian North America Co-Investment Plan, the Company made awards over its ordinary shares on 18 May 2012 to certain directors by reference to a price of 888.6667p per share. The awards of deferred matching ordinary shares are subject to performance conditions and the maximum numbers of shares that could vest in the case of each director in respect of such awards are set out below.

Note:      The awards were calculated with reference to directors' gross bonuses and will be taxed at the point of vesting.

Performance Share Plan

In accordance with the terms of the Experian Performance Share Plan, the Company also made awards over its ordinary shares on 18 May 2012 to certain directors by reference to a price of 888.6667p per share. The awards are subject to performance conditions and the maximum numbers of shares that could vest in the case of each director in respect of the awards are as follows:

Recruitment & Retention Plan

In accordance with the terms of the Experian Recruitment & Retention Plan, the Company also made awards over its ordinary shares on 18 May 2012 to Brian Cassin, a director of the Company, by reference to a price of 888.6667p per share. The maximum number of shares that could vest in respect of the awards is 158,261.

The notifications to the Company were made in accordance with Disclosure Rule 3.1.2R.This notification is made in compliance with Disclosure Rule 3.1.4R.
