Notification pursuant to Sections 67 to 79 of the Companies Act, 1990 ('Act')



FBD Holdings plc ('FBD') was notified on 22nd December, 2003 that Farmer
Business Developments plc disposed of 1,000,000 ordinary shares in the capital
of FBD on 22nd December, 2003. This disposal represented 2.39 per cent of the
issued share capital of FBD.



Following the disposal, Farmer Business Developments plc holds ordinary shares
in the capital of FBD representing 37.26 per cent of the issued share capital of
the Company.  A breakdown of that interest between registered holders as
required by section 71(3) of the Act is as follows:
