Notification pursuant to Sections 67 to 79 of the Companies Act, 1990 ('Act')


FBD Holdings plc ('FBD') was notified on 18th October, 2004 that Farmer Business
Developments plc disposed of 2,570,000 ordinary shares in the capital of FBD on
18th October, 2004. This disposal represented 6.14 per cent of the issued share
capital of FBD.

Following the disposal, Farmer Business Developments plc holds ordinary shares
in the capital of FBD representing 31.12 per cent of the issued share capital of
FBD.  A breakdown of that interest between registered holders as required by
section 71(3) of the Act is as follows:
