FDM Group Plc ("the Company")
Holding in Company
The Company was notified on 19 April 2005 by Hermes Administration Services
Limited that the Trustees of the BT Pension Scheme, Hermes Investment Management
Limited and Hermes Pensions Management Ltd have a notifiable interest in a total
of 2,500,000 ordinary shares of 1p each in the Company ("Ordinary Shares"),
representing approximately 10.76 per cent of the issued share capital of the
Company. These Ordinary Shares are registered as follows:

BriTel Fund Nominees Ltd 1,488,355 6.41
Possfund Nominees Ltd 1,011,645 4.35
In addition, the Royal Mail Pensions Trustees Limited and Possfund Custodian
Trustee Limited are also materially interested in the 1,011,645
Ordinary Shares registered in the name of Possfund Nominees Ltd, as set out
above.
