Ladies and Gentlemen:
Please be informed that on December 12, 2002, the Board of Directors of Ford
Motor Company amended the Company's By-Laws. Article II, Section 3 was amended
to allow the Company to take advantage of recent changes to Delaware law
governing 'householding.' A copy of the amendment is attached hereto and a
certified copy will be forwarded to the Exchange by courier.
RESOLVED, That Article II, Section 3 of the By-Laws of the Company is amended in
its entirety to read as follows:
ARTICLE II
STOCKHOLDERS
Section 3. Notice of Meetings.
Except as otherwise provided by law, at least twenty (20) days' notice of
stockholders' meetings stating the time and place and the objects thereof shall
be given by the Chairman of the Board of Directors, the President or the
Secretary to stockholders of record having voting power in respect of the
business to be transacted thereat. No business other than that stated in the
notice shall be transacted at any meeting.
