Letter to RNS

Please be informed that on April 21, 2004, the Board of Directors of Ford Motor
Company amended the Company's By-Laws. Article V, Section 3 was amended to
provide that there shall be a President and a Chief Operating Officer.
(Previously, the President and Chief Operating Officer was one position.)

A copy of the amendment is attached hereto and a certified copy will be
forwarded to the Exchange by courier.

I, Kathryn S. Lamping, an Assistant Secretary of FORD MOTOR COMPANY, a Delaware
corporation (the 'Company'), DO HEREBY CERTIFY that the following resolution was
duly approved at a meeting of the Board of Directors of the Company duly called
and held on April 21, 2004, and that the same is now in full force and effect:

RESOLVED, That Article V, Section 3 of the By-Laws of the Company is amended in
its entirety to read as follows (Added language is in capital letters and
deleted language is underlined):


Section 3. President and Chief Operating Officer.
