Wolseley plc (the "Company")

Application has been made to the UK Listing Authority for the block listing of 285,000 ordinary shares of 10 ^53/66 pence each in the Company to the Official List and to the London Stock Exchange for these shares to be admitted to trading.

These shares will be issued and allotted in connection with the Wolseley Employees Savings Related Share Option Scheme 1981 (23,000 shares), the Wolseley Group International Sharesave Plan 2011 (80,000 shares), the Wolseley Group Employee Share Purchase Plan 2011 (92,000 shares), the Wolseley Share Option Plan 2003 (10,000 shares) and the Wolseley Group Long Term Incentive Plan 2015 (80,000 shares).  When issued, these shares will rank pari passu with the existing ordinary shares.

Admission is expected to be effective on 25 April 2016.
