notified of the following transactions over ordinary shares of 25 pence each in
the capital of the Company in respect of Directors/Persons Discharging
Managerial Responsibilities under the following Schemes:

1. Wolseley Employees Savings Related Share Option Scheme 1981 (SAYE):

3. Share Purchase
   --------------

   Mr Frank Roach has increased his shareholding in the Company by 5,000 
   ordinary shares.  Mr Roach purchased the shares in the USA at a price of 
   $10.55 on 15 April 2008.  As a result of this transaction, he now holds a 
   total of 41,940 ordinary shares of 25p each in the capital of the Company.
