In accordance with the requirements of DTR 3.1.4 R(1), we have today been notified of the following transactions over ordinary shares in the capital of the Company in respect of Directors/Persons Discharging Managerial Responsibilities ('PDMR's') under the following Schemes:

1. Wolseley Employees Savings Related Share Option Scheme 1981 ('SAYE'):

a. Grant of options under the SAYE as follows:

The earliest exercisable date for these options is 1 June 2012.

b. The following savings contracts/options granted under the SAYE in April 2008 at an option price of 405 pence* 

    have today been lapsed:

2. Wolseley Employee Share Purchase Plan 2001 ('ESPP'):

a. Grant of options under the ESPP over ordinary shares as follows:
