The Wolseley Group Long Term Incentive Scheme 2010 ('LTIS') - 2011 Award

Wolseley plc announces that on 15 November 2011 a conditional allocation of ordinary shares of 10p each in the capital of the Company was made under the LTIS to 9 Senior Executives, all of which are Executive Directors and Persons Discharging Managerial Responsibilities. These shares will only vest upon the achievement of certain corporate performance targets measured over a three year period. No consideration is payable either at allocation or on vesting of all or part of the awards.
