The Wolseley Group Employee Share Purchase Plan 2010 (the 'ESPP')

Following the maturity of his savings contract, ordinary shares of 10p each granted under the ESPP in April 2010 at an option price of 1355 pence, were allotted on 12 May 2011 as follows:

These shares will be delivered in the form of American Depository Shares, each representing one-tenth of an ordinary share in the capital of Wolseley plc.  Mr Roach's beneficial holding has been increased as a result of this allotment.
