Notification of transactions of Directors/Persons Discharging Managerial Responsibilities

Wolseley plc (the "Company") announces the following change in the interests in the ordinary shares of 10 ⁵/₁₁ pence each in the share capital of the Company (the "Shares").

Following receipt by the Company of an application from an employee relating to the exercise of options under the Wolseley Share Option Plan 2003 ("the Plan"), the Company chose to net settle certain of the options by delivering Shares with a market value equal to the settlement value of the options (being the difference between the option price and the market value of the option Shares).

The following Director/Person Discharging Managerial Responsibility exercised options under the Plan on 11 November 2013. The table below shows the number of options exercised and the total Shares received following net settlement.

The options vesting under the Plan were exercised at an option price of £12.69. The market value of the shares at the time of exercise was £33.35.
